Nithi has substantial experience in banking, domestic and trans-national lending, debt restructuring, project finance, joint venture, mergers & acquisitions, and capital markets. His clients gain from his expertise in providing accurate advice and workable solution, drafting and negotiating for contract terms favorable to clients.

Nithi also advises clients on corporate and commercial transactions. Nithi has advised the Agricultural Futures Trading Commission and the Agricultural Futures Exchange of Thailand in drafting regulations on futures trading of white rice and smoked rubber sheets. He has recently been appointed as a member of the Panel of Counsels to the Agricultural Futures Trading Commission. The Chairman of the Panel is the Director General of Internal Trade, Ministry of Commerce.

Capital Markets and Securities
Nithi has hands on experience of this sector and vast expertise of drafting and reviewing the documentation required by the Stock Exchange of Thailand and the Securities and Exchange Commission. He has advised in relation to initial public offerings, listings, (including back door listings), issuance of bonds and commercial papers, establishment of property funds, private funds and venture capital. His advice is grounded in first hand knowledge of what actually works.

Nithi's recent work in this field has included:

  • assisting the investor to make a tender offer for securities under the Take Over Rules, for shares in K.R. Precision Public Company Limited (now Magnecomp Precision Public Company Ltd, a company listed on the Stock Exchange of Thailand);
  • advising in relation to a Baht 250,000,000 bond issuance to a private commercial banking fund for the development of a hotel and resort business in Phuket. In this matter, we advised on the rules and regulations of the Securities and Exchange Commission, as well as ensuring that all of the relevant filings were made with the SEC. The bond issuance was secured by land and shares. Our work in this matter included a detailed examination of the securitization aspects of the project and an assessment of the regulations regarding the feasibility of investment in a project of this type by a fund of this nature. This matter evidences the continued interest of private funds in the hospitality and residential sector in southern Thailand;
  • advising Regional Container Lines on its issue of Baht 3 billion debentures and the sale through private placement;
  • advising C.I. Development, a company in the Charn Issara Group on its registration for listing on the SET and the IPO of new shares;  and
  • advising the Government Savings Bank in relation to the establishment of a private fund and property fund type I.
Mergers and Acquisitions
Nithi has advised in relation to mergers and acquisitions for: Thai Dairy Industry; Interbrew; Nissan Diesel (Thailand); Andaman Capital; CITIC (the investment arm of the Chinese government); Magnecomp Precision Technology; and Unilever.

In addition a recent highlight has included:

  • advising a Bahrainian investor in relation to investment in and acquisition of shares from a subsidiary of Natural Park, a large real estate developer, for the operation of and investment in a hotel at Siam Square. This included drafting the share sale and purchase agreement as well as the shareholders agreement. This is high value transaction and our work on it entailed liaising with the various cross border parties as well as taking into account the complexities of foreign business investment in Thailand. Our work in this matter also included advising in relation to the structure of a joint venture, including an analysis of various agreements, including construction agreements, financing documentation, agreements for the appointment of professional consultants as well as examining the assets and liabilities of the parties involved in the transaction. Completion of this transaction will see the opening of two major new hospitality venues in central Bangkok.
