Recent Experience
Office of the Agricultural Futures Trading Commission, Thailand
Drafting the new regulatory regime under the Agricultural Futures Trading Act. The subordinate legislation covers terms and conditions of futures transactions, the clearing systems, surveillance methods as well as delivery system. These are the first regulations in Thailand to deal with this type of transaction.
Siam Paragon Shopping Complex
Acting for the bank financing this project. This included drafting all of the financing agreements and credit facilities agreements as well as the security documentation for the Aquarium Project in the Siam Paragon Shopping complex. The center is expected to open in 2005.
Regional Container Lines
Advising on a bond issuance worth 3 billion Baht, as well as drafting and reviewing all of the documentation related to the issue.
Unilever Thai Trading
Advising in relation to the issuance of a guaranteed amortizing debenture worth 4 billion Baht.

Boeing aircraft leasing
Acting as Thai Counsel for The Boeing Company in its sale and interim financing of 15 Thai Airways aircraft to date since 1999.
Bangkok MRTA Subway Project contract restructuring
Acting for SNC-Lavalin, a consortium member for the Trackwork Contract, in restructuring its participation in the project consistent with existing commitments under the concession, banking documentation and project contracts.
SITCARS
Advising MBIA on the SITCARS hire purchase receivables securitisation of US$83 million and related disputes. This has been complicated by existing litigation and the impending liquidation of one of the originators. It was also the first securitisation before the Thai Courts.
Ch Karnchang issue of secured debentures
Acting for Ch Karnchang on the issue of debentures secured against shares and bank accounts by way of private placement.
Digital Phone Company
Acting for DPC in its negotiations for a US$150 million syndicated loan for financing a Nokia - supplied network system and a US$96 million syndicated credit facility to finance a further network system supplied by Nortel.
JW Marriott
Advising the syndicate of banks on the syndicated loan to finance construction of a resort and spa in Phuket.
